Service Agreement
Misd for Business (Pulse) · Effective October 23, 2026 · Version sa-standard-2026-10-23
This agreement is between Misd LLC, a Nevada limited liability company ("Misd", "we", "us"), and the organization accepting this agreement (the "Client", "you"). It describes what every paid Pulse plan delivers, what Misd promises, and what it does not. It works together with the Terms of Service and Privacy Policy, which also apply. You accept it when you create your account and again at checkout whenever it has changed. By accepting you confirm you are authorized to bind the Client.
1. The service
Pulse is weekly business intelligence. Each week Misd reads aggregate crowd movement, the local calendar, public and licensed market data and the Client's own inputs, and delivers a stack of intelligence cards, a monthly overview, Studio, Results, and the related tools (Ask, Watch, Connect, decks) for each property on the account. A property is a physical location, an online business, or a dated event.
Studio writes the week's suggestions as emails, notes, posts and the monthly release, and recommends leads each week: organizations near the Client's business found on public pages, with the address each publishes for business contact, never a person from Misd's own data. Recommendations are not a promise that any organization responds. When the Client sends through Studio, Misd sends as the Client from the Client's own Google or Microsoft account. The Client owns the list and is responsible for consent to write to each address. Results lines are modeled from the Client's connected totals or the numbers the Client enters. They are not advice, a forecast, or a promise of revenue. Results also records what a tried suggestion did against the Client's own numbers.
Pulse describes what the data shows and what the Client might do about it. The Client decides what to act on. Pulse is an input to the Client's judgment, not a substitute for it.
2. Plans
Location plans (Standard and Pro). Priced per claimed location, 1 to 10, month to month or charged once per year. Standard carries the core weekly stack; Pro adds the Network and Social stacks. Location counts may be reduced from the account effective at the end of the paid period; a removed location keeps everything already delivered and stops updating. Nothing is deleted.
Online Pro ($199 per month, or $1,990 per year; shown as "Pro" under Online on the plans page). One online business. Online Pro is a separate plan and may sit beside a location plan; the two bill and cancel independently.
Snapshot ($99, once). One week of cards for one online business, built when payment lands. It does not refresh. Credited against the first Online Pro payment if Online Pro starts within 14 days.
Event plans. See section 3.
Founders Club, Enterprise and Custom. As stated in the written order, proposal, invoice or bill issued to the Client by Misd (the "Order"). Where the Order conflicts with this agreement, the Order controls. Enterprise and agency partner bundles are Orders.
Plans purchased before September 30, 2026 continue to deliver what they were sold with, on the prices and terms under which they were purchased. Rate locks follow section 4 of the Terms of Service.
3. Event plans
An event plan covers one dated event (a show, festival, conference, drop, pop up, activation or similar) for the term of its package, unless the Order states a different term.
Packages. Event Standard ($2,500 per event) delivers eight weeks of full attention around the event: six weeks before the first event date, the event, and two weeks after; the event property stays on the account for twelve months from the day the payment lands. Event Pro ($5,000 per event) delivers weekly cards for twelve months from the day the payment lands, including those same eight weeks of full attention around the event. Custom event plans, Enterprise (from $10,000 per year) and agency partner bundles cover several events, a repeating series, a zoned venue or a roster of clients. A custom bill written by Misd for the Client's event is an event plan at the amount on the bill. The Misd Event Activation (promotion inside the Misd consumer app) is a separate add-on with a separate budget and is never included in an event plan.
What an event plan delivers. The weekly cards for the event property for the whole term, with the emphasis moving through four phases: observe (the venue, the city and comparable events, more than six weeks out; Event Pro only), prepare (the build up, roughly six weeks before the event), the event itself (day by day while it runs), and learn (the wrap in the weeks after; for Event Pro, the rest of the year as well). A repeat of the event in a later year is a new event plan; the earlier edition stays on the account as memory.
The nature of event intelligence. A first edition has no attendance history. Pulse reads the venue's crowd, the city's calendar and comparable events and states plainly what is measured, what is benchmarked and what is researched. Pulse does not predict or promise attendance, ticket sales, sponsorship, revenue, press, or any other outcome, and no card, deck, email or conversation with Misd should be read as such a promise. Signal at and around a venue varies with the venue, the dates and the surrounding activity; where it is thin, Pulse says so and delivers the best safe aggregate intelligence available.
Refunds on event coverage: 7 days from payment, not from the event. An event plan is a commitment of research and generation that begins the day it is paid and runs on the calendar of the event. The Client may cancel an event plan for a full refund by telling Misd within 7 days of the payment date. After those 7 days, event plan payments are final and non-refundable, in whole and in part, including where the event is postponed, shortened, moved, sold, or canceled by the Client or a third party, where attendance or results differ from the Client's expectations, or where the Client stops using the account. The 7 days run from the date of payment and never from the event dates. Where an event moves, Misd will move the plan's dates with it at no charge within the same term.
Nothing renews on its own. An event plan ends at the end of its term unless the Client buys another. Misd does not store a card for event plans and will never charge the Client without a new payment the Client makes.
4. Delivery and cadence
- The first week of cards is generated when the claim is approved or the account is built by Misd for the Client.
- Weekly refresh normally lands on Sundays. Event properties follow the same Sunday cadence through the whole term, with the phase emphasis in section 3.
- While fresh intelligence is being computed a card may briefly show a building state. It resolves on its own.
- Misd may deliver a week late, re-run a week, or replace a card where quality, data availability or a third-party outage requires it. That is not a breach; Misd will say so when it happens.
5. Data, privacy and confidentiality
The data floor. Every number and pattern Pulse delivers is aggregate. Minimum crowd thresholds are enforced throughout the service. Pulse will never identify, list or describe an individual person to the Client, and no plan, price, Order or request changes that. Requests to identify individuals are declined regardless of account value.
Your information stays yours. Misd treats the Client's account details, business inputs, priorities, questions asked, uploaded materials and the cards and documents generated for the Client as the Client's confidential information. Misd does not sell it, does not share it with the Client's competitors, and does not use it to build intelligence for another named account. Misd may use de-identified, aggregated patterns across accounts to improve the service and to describe markets in general, never in a way that identifies the Client or its figures. This includes which kinds of suggestions the Client marks as tried and whether they helped. Such de-identified aggregates are retained after the account closes, detached from the Client and carrying no name, address or figure attributable to the Client. Misd's suppliers (hosting, email, payments, model providers) process data only to run the service, under their own confidentiality terms.
Reasonable safeguards, not a guarantee. Misd protects Client information with commercially reasonable administrative, technical and physical safeguards appropriate to a service of this kind. No system is perfect. Misd is not liable for an incidental, minor or inadvertent disclosure of Client information that occurs despite those safeguards, or for disclosures caused by the Client (shared passwords, forwarded documents, staff departures) or by third parties outside Misd's control. Where Misd becomes aware of a disclosure that materially affects the Client, Misd will tell the Client without undue delay, correct it, and work with the Client's team on anything that follows. Payments are processed by Stripe; Misd never holds the Client's card details.
6. Client responsibilities
- Claim only businesses and events you are authorized to represent, and provide accurate details. Intelligence quality depends on them.
- Keep account credentials secure and tell Misd promptly if they are compromised.
- Use cards, decks, briefs and insights for the Client's own business. Do not resell, republish or pass them to a competitor of Misd.
- Make your own decisions. Check anything that matters to your operations, finances or safety before acting on it.
7. Account adjustments and support
Misd would rather fix an account than argue about it. If a property is set up wrong, a date moves, an owner changes, a card reads a venue the wrong way, or the stack is not leaning toward what matters to the Client, tell us and we will adjust it, re-run it or rebuild it as needed, and work directly with the Client's team to get it right. Account support is by email (support@misd.co); Pro, event, Enterprise and Custom accounts receive priority support. Adjustments are not refunds and do not change the term.
8. Fees, term and cancellation
Billing, renewal, cancellation and the founder rate follow the Terms of Service. In short: month to month plans cancel effective at the end of any paid month; twelve month agreements are paid upfront and canceling never triggers an additional charge; 36 month agreements charged yearly are a commitment to all three yearly payments; the paid-in-full option settles the whole term in one payment; a first paid monthly or annual location or Online Pro plan carries the 30 day money back guarantee in the Terms of Service; Snapshots, event plans, custom bills and Orders are paid once, do not renew and are non-refundable except as the Order states. Canceling never removes what has already been delivered.
9. What Misd does not promise
Pulse is provided as described in this agreement and otherwise "as is". Misd does not warrant that any card, number, recommendation or document will be accurate, complete, current or fit for a particular purpose, that the service will be uninterrupted or error free, or that acting on Pulse will produce any particular result, including attendance, sales, revenue, savings, press, rankings or growth. Benchmarks and comparisons are estimates from aggregate data. Third party data and models change outside Misd's control.
Dollar figures and counts shown with a suggestion are arithmetic on observed numbers: a crowd or count from the week's facts, a share of it, and an average ticket from your connected numbers, from what you told Pulse, from a price in the week's facts or from category peer figures. The breakdown behind each figure is shown with the card. They are sizing, not a forecast or a guarantee. Every suggestion is a recommendation for the account owner to review and decide on; the account owner is responsible for any action taken and for its outcome.
10. Liability
To the fullest extent permitted by law, Misd's total liability to the Client arising out of or related to the service, under any theory, is limited to the amount the Client paid Misd for the plan concerned in the twelve months before the claim arose. Misd is not liable for indirect, incidental, consequential, special or punitive damages, lost profits, lost revenue, lost data or business interruption, even if advised of the possibility. Nothing in this agreement limits liability that cannot be limited by law.
11. Service evolution and changes
Pulse improves continuously. Misd may adjust card modules, add capabilities or replace a module with one of substantially equivalent value, and will not materially reduce what a plan delivers during a term the Client has paid for. Misd may update this agreement; a new version applies to new purchases and renewals, and the Client is asked to accept it at the next checkout.
12. Precedence and governing law
If the Client has an executed written agreement or an Order with Misd, that document controls where it conflicts with this one. Otherwise this agreement, the Terms of Service and the Privacy Policy together govern the service. Governing law and venue follow the Terms of Service (Nevada).
